Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and LogiCRM Inc. ("LogiCRM," "we," "our," or "us") regarding your access to and use of the LogiCRM logistics customer relationship management platform and related services ("Service").
By accessing or using our Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Service Description
Platform Overview
LogiCRM provides a cloud-based customer relationship management platform specifically designed for logistics companies, including:

- Analytics and reporting dashboard
- Integration with third-party logistics systems
- Mobile applications and API access
Service Availability
We strive to maintain 99.9% uptime for our Service. Planned maintenance will be scheduled during off-peak hours with advance notice. We may temporarily suspend access for emergency maintenance or security reasons.
Updates and Modifications
We continuously improve our Service by adding new features and functionality. Updates may be deployed automatically without prior notice, though significant changes will be communicated in advance.
User Accounts
Account Creation
To use our Service, you must create an account by providing accurate and complete information. You are responsible for:

Payment Terms

Upon request, we will provide your data in a commonly used format. You may export your data at any time through the Service interface or by contacting support.
Data Deletion
Upon termination of your subscription, we will delete your data according to our data retention policy unless longer retention is required by law or agreed upon separately.
Service Level Agreement
Uptime Commitment
We commit to maintaining 99.9% uptime for our Service, calculated monthly. Uptime excludes:
- Scheduled maintenance windows
- Emergency maintenance for security or critical issues
- Outages caused by third-party providers
- Issues arising from your misuse of the Service
Support Services
We provide technical support based on your subscription plan:
- Starter Plan: Email support during business hours
- Professional Plan: Email and phone support with priority handling
- Enterprise Plan: 24/7 support with dedicated account management
Performance Standards
- Response Time: Initial response within 24 hours for standard issues
- Critical Issues: Response within 4 hours for service-affecting problems
- Resolution Time: Best effort to resolve issues within agreed timeframes
Limitation of Liability
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Damages
IN NO EVENT SHALL IMASOCRM BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES EXCEEDING THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
Exceptions
Nothing in these Terms limits our liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Gross negligence or willful misconduct
- Violations of applicable law
Indemnification
You agree to indemnify and hold LogiCRM harmless from any claims, damages, or expenses arising from:
- Your use of the Service in violation of these Terms
- Your data or content uploaded to the Service
- Infringement of third-party rights
- Your violation of applicable laws or regulations
Termination
Termination by You
You may terminate your subscription at any time by:
- Canceling through your account settings
- Contacting our support team
- Providing written notice
Termination by Us
We may terminate your access immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay required fees
- Engage in illegal or harmful activities
- Pose a security risk to our Service or other users
Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- You remain responsible for any outstanding fees
- We will retain your data according to our retention policy
- You may request data export within 30 days
General Provisions
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved in the state and federal courts located in San Francisco County, California.

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and LogiCRM regarding the Service.
Modifications
We may modify these Terms at any time. We will provide notice of material changes and your continued use constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
